The words with capitalized initial letters have meanings defined under the following conditions. These definitions apply regardless of whether they appear in singular or plural form.

Definitions

For the purposes of these Terms and Conditions:

• Application means the software program provided by the Company, downloaded by You on any electronic device, named OHM Fitness App.
• Application Store means the digital distribution service operated and developed by Apple Inc. (Apple App Store) in which the Application has been downloaded.
• Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.
• Account means a unique account created for You to access our Service or parts of our Service.
• Country refers to the United States.
• Company (referred to as either "the Company," "We," "Us," or "Our" in this Agreement) refers to OHM Fitness Studios.
• Device means any device that can access the Service such as a computer, a cellphone, or a digital tablet.
• Feedback means feedback, innovations, or suggestions sent by You regarding the attributes, performance, or features of our Service.
• Goods refer to the items offered for sale on the Service.
• Orders mean a request by You to purchase Goods from Us.
• Service refers to the Application, the Website, or both.
• Terms and Conditions (also referred to as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
• Third-party Social Media Service means any services or content (including data, information, products, or services) provided by a third-party that may be displayed, included, or made available by the Service.
• Website refers to OHM Fitness, accessible from https://ohmfitness.com.
• You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Text Messaging & Communications

By creating an account, subscribing to a membership, or otherwise using the OHM Fitness App or OHM at Home services, You consent to receive text (SMS) messages from OHM Fitness Studios. These messages may include information regarding Your account, membership status, scheduling reminders, marketing promotions, and other service-related notifications.

Message frequency may vary. Standard message and data rates may apply depending on Your carrier and mobile plan. You can opt out of receiving marketing text messages at any time by following the instructions provided in those messages (e.g., replying STOP), but You may still receive service-related messages regarding Your account or transactions.

Your consent to receive text messages is not a condition of any purchase. For more information about how We collect and use personal information, please review Our Privacy Policy.

Acknowledgment

These Terms and Conditions govern the use of this Service and form an agreement between You and the Company. These Terms set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use, and disclosure of Your personal information when You use the Application or the Website and informs You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.

Placing Orders for Goods

By placing an Order for Goods through the Service, You warrant that You are legally capable of entering into binding contracts.

Your Information

If You wish to place an Order for Goods, You may be required to supply certain relevant information, including Your name, email, phone number, payment details, billing address, and shipping information.

You represent and warrant that:

• You have the legal right to use any payment method in connection with any Order.
• The information You provide is true, correct, and complete.

By submitting such information, You grant Us the right to provide it to third-party payment processors for transaction facilitation.

Order Cancellation

We reserve the right to refuse or cancel Your Order at any time for reasons including but not limited to:

• Goods availability
• Errors in descriptions or pricing
• Errors in Your Order
• Suspected fraud or unauthorized transactions

Your Order Cancellation Rights

Your right to cancel an Order applies only to Goods returned in the same condition as received. Goods that are damaged, used, or missing components may not be eligible for a refund. Please review our Returns Policy for full details.

OHM Fitness Memberships

App Availability and Account Registration

The OHM Fitness App ("the App") is available for download through the Apple App Store and on Google Play. The App is free to download, and users may create an account to manage their fitness portfolio and access certain digital content.

OHM at Home Membership and Subscription-Based Features

The App includes optional premium features under the OHM at Home program, which provides users with the ability to connect to their at-home EMS suit. OHM at Home memberships are subscription-based and grant access solely to EMS suit connectivity and usage features. The subscription does not include or grant access to digital content within the App.

Membership Structure and Usage

OHM Fitness offers flexible membership options designed to support both in-studio and at-home EMS training. Depending on the membership selected, members may receive access to studio sessions, OHM at Home training minutes, or a combination of both.

OHM at Home memberships use a monthly, minute-based access model. Available minutes are associated with the member’s account and used when completing EMS workouts through the OHM at Home experience.

The management of these minutes are facilitated through the OHM Admin Application (OAA), which serves as the designated tool for tracking, authentication, and effective management of at-home usage.

Membership Packages

Membership options are divided into studio memberships, OHM at Home add-ons for eligible studio members, and standalone OHM at Home plans.

Warm Up Membership | $79/month

Includes four (4) in-studio sessions per month, redeemable at participating OHM Fitness studios.

The Warm Up membership may be purchased in-studio or through the OHM Fitness App. Members may also add OHM at Home access through the Warm Up + Membership.

Warm Up + (Add-On) | $19/month

An exclusive OHM at Home add-on available to members with an active Warm Up Membership.

Includes 100 OHM at Home EMS minutes per month for workouts with a compatible OHM EMS suit.

Peak Membership | $199/month

Includes unlimited in-studio access along with additional recovery and wellness benefits, including:

• Unlimited studio sessions
• Access to elite recovery tools
• One (1) Styku body scan per month
• Eight (8) Red Light Therapy sessions per month

Benefits are redeemable at participating OHM Fitness studios.

Peak members may also add OHM at Home access through the Peak + Membership.

Peak + (Add-On) | $29/month

An exclusive OHM at Home add-on available to members with an active Peak Membership.

Includes unlimited EMS minutes per month for at-home workouts with your OHM EMS suit, subject to OHM's daily EMS usage limits.

OATH Basic Membership | $49/month

A standalone OHM at Home membership that includes 100 EMS minutes per month for at-home workouts with a compatible OHM EMS suit.

Ideal for members looking to incorporate a few focused OHM at Home sessions into their monthly routine.

OATH Premium | $69/month

A standalone OHM at Home membership that includes 220 EMS minutes per month for at-home workouts with a compatible OHM EMS suit.

Designed for members who want to train more frequently and have greater flexibility throughout the month.

OATH Unlimited Membership | $99/month

A standalone OHM at Home membership that includes unlimited EMS minutes per month for at-home workouts with a compatible OHM EMS suit.

Unlimited monthly access remains subject to OHM's daily EMS usage limits.

Minute Top-ups

Members with an active OATH Basic or OATH Premium membership may purchase additional OHM at Home minutes when their monthly allocation has been used.

Top-up minutes are added to the member’s available OHM at Home balance and expire 90 days after purchase.

30-Minute Top-Up | $10

Adds 30 minutes to an active OATH membership. Credits expire 90 days after purchase.

100-Minute Top-Up | $29

Adds 100 minutes to an active OATH membership. Credits expire 90 days after purchase.

600-Minute Top-Up | $49

Adds 600 minutes to an active OATH membership. Credits expire 90 days after purchase.

Subscription Management and Payment Processing

OHM Fitness memberships and OHM at Home add-ons are managed externally and are not processed through the Apple App Store’s in-app purchase system. Users must subscribe, modify, or cancel memberships through designated external platforms provided by OHM Fitness.

All subscriptions automatically renew unless canceled before the renewal date.

Pricing is subject to change at OHM Fitness's sole discretion. Any modifications to pricing or membership features will be communicated in accordance with applicable terms.

Compliance with Third-Party Policies

Users acknowledge that OHM Fitness independently manages OHM at Home memberships, including subscription fees and minute allocations. These services are separate from and not processed through Apple’s in-app purchase system. These memberships are directly managed by OHM Fitness through its external platforms.

Availability, Errors, and Inaccuracies

We strive to update Our offerings of Goods and Services regularly. However, We do not guarantee that all information, including pricing, product images, specifications, availability, and services, is accurate, complete, or current. We reserve the right to change or update information and to correct errors at any time without prior notice.

Payments

All purchases are subject to a one-time payment. Accepted payment methods include:

• Visa
• MasterCard
• American Express
• PayPal

Payment processing is subject to validation and authorization by Your card issuer. If authorization is not received, We are not liable for delays or non-delivery of Your Order.

User Accounts

When You create an account with Us, You must provide accurate and complete information. You are responsible for safeguarding Your password and account details.

You may not use as a username:

• The name of another person or entity without authorization.
• A name or trademark subject to rights of another party.
• A name that is offensive, vulgar, or obscene.

Intellectual Property

The Service and its content, features, and functionality are the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and branding may not be used without prior written consent.

Your Feedback to Us

You assign all rights, title, and interest in any Feedback You provide. If such assignment is ineffective, You grant the Company a non-exclusive, perpetual, royalty-free license to use and distribute such Feedback.
